Verdict

Quality is proven; the price is fair — it asks for less than the record has delivered

Quality Recurring revenue is 65.3% of the $7,476.8M total at 98% retention (company-reported), with a recurring-revenue backlog of $470M (company-reported; the company’s estimate of first-year revenue from closed sales not yet recognized); FY26 free-cash-flow conversion was 110%, and owner earnings compounded +14.3%/yr across FY24–26. Predictability: Demonstrated-led — delivered owner earnings compounded +14.3%/yr across FY24–26 against the +6.4%/yr the price requires, and guides were met or beaten three years running.
Moat Regulated proxy plumbing plus an integrated post-trade stack. Durability is being tested by a rule — SEC (Securities and Exchange Commission) Reg E-Delivery — not by a rival.
The price Our reverse DCF model says that with a 10% required rate of return, the market is pricing in about +6.4%/yr owner-earnings growth for ten years, then a gradual decline toward 2%.
Falsifier Breaks if — the Dec 8, 2026 Investor Day AOI (Adjusted operating income) margin-expansion target comes in below 50 bps/yr, unquantified, or dropped (the page’s registered Decisive test — PASS: a target ≥ 50 bps/yr with the postage/float bridge quantified).
Management B+ — Guidance credibility A− · Execution A− · Capital allocation B+ · Alignment B.
Downside flags Valuation — Flag: What’s priced in sits inside the guide’s implied range, near its low end; the flag is the verdict, not a surprise. Leverage — Pass: Net debt 2.3× FCF, nothing due before Dec 2029. Management & ownership — Flag: Canton governance (Canton-linked value at least $247.7M — coins $216.1M + warrants $31.6M — plus CNTN shares not separately disclosed, ~1.2%+ of market cap; surfaced in the verdict box); insider sales $84.5M vs one $1.03M buy — $55.5M (65.7% of sale value) line-level 10b5-1-footnoted, all of it Gokey’s; $29.0M not line-level plan-footnoted. Moat — Watch: Tested by a rule, not a rival; the rule is live. Bias — Pass, with note: FY26 GAAP EPS +35.2% is flattered by the Canton mark; Adjusted +12.3% is the real rate — and this desk’s own v2 page overstated the guidance record (corrected below).
Next print Tue Nov 3, 2026 — Q1 FY27 print (expected date: reporting pattern and aggregator calendars; not company-confirmed). The FY27 closed-sales guide — reaffirmed at $290–330M or the $290M floor cut; recurring growth against the +6.0% CC (constant currency) guide floor.
Top unverifiable The 98% retention figure is company-reported — from the Q4 FY26 earnings call and the Ex-99.2 presentation only; it appears in no filing — and is not independently verifiable. The $470M backlog is company-reported the same way.

The business

A toll road on other people’s obligations

Broadridge processes what brokers, funds, and issuers are legally required to send: proxy votes, regulatory communications, trade confirmations, and customer statements. Investor Communication Solutions (ICS) runs that communications franchise; Global Technology and Operations (GTO) sells the post-trade and wealth platforms behind it. The fiscal year ends June 30. CEO Tim Gokey has run the company since January 2019; CFO Ashima Ghei since December 2024.

Key debates

Five questions decide what this stock is worth

The debates, grouped by spine question
SpineThe debateBull readBear readSettled by
Price Closed sales: a timing story (record Q4 FY26, $470M backlog (company-reported)) or a demand story (guide cut at Q3 two years running)? Answered for FY26: delivery was $305M, inside the original $290–330M guide, on a record $158M Q4; the backlog (company-reported) began FY26 at $430M and ended at $470M. The guide was cut at Q3 in both FY25 and FY26 on the same stated reason (deal timing and complexity) — and for FY25 the point stands: $288M landed below the original $290M floor. FY27 re-issues the same $290–330M range. Tue Nov 3, 2026 — Q1 FY27 print: the FY27 closed-sales guide — pass if reaffirmed at $290–330M; fail if the $290M floor is cut at a Q1 print. Q1 closed sales ≥ $50M pass / < $40M fail.
Quality Is ~21% adjusted operating margin the ceiling, or a postage/float optical drag? The Dec 2023 Investor Day promised 50+ bps/yr of expansion. Management attributes the flat headline margin to distribution-revenue growth and lower float income offsetting claimed core expansion of 50 bps+ (basis points) (bridges quantified on calls at −30 bps net in Q1 FY26 and −80 bps net in Q3 FY26); the defense is backlog conversion at constant mix. Delivered expansion is ~25 bps/yr on headline AOI margin (19.78% FY23 → 20.53% FY26, 10-K series) and ~32 bps/yr on the company’s own core (ex-float/distribution) scorecard basis (deck-reported, not reproducible from filings) — a miss on either basis, and the prints have not yet shown the expansion. Tue Dec 8, 2026 — Investor Day: the Adjusted operating income (AOI) margin-expansion target — pass if ≥ 50 bps/yr with the postage/float bridge quantified; fail if below 50 bps/yr, unquantified, or dropped.
Price How big is Reg E-Delivery? Management sizes the recurring-revenue hit at “a few percent” (Gokey, Apr 30, 2026) — and in the same remarks calls the earnings impact “broadly neutral.” Management’s full position: implementation runs over a few years, primarily affects the $2,250.6M of low/no-margin distribution revenue, new digital services are expected to more than offset lost recurring revenue, the earnings impact is “broadly neutral,” and no FY27 impact is expected (Ghei, Aug 4, 2026). Digitization is already ~95% of proxy and ~80% of fund communications (company-reported). The recurring-revenue sizing is management’s own: “a few percent” of the $4,878.0M recurring base is $98–195M of revenue, concentrated in customer communications ($752.8M) — the highest-quality stream in the mix — and the offset is a promise, not a print. Tue Dec 8, 2026 — Investor Day: Reg E-Delivery revenue-at-risk quantified — pass if a figure is published; fail if not.
Quality The Canton treasury position: earned network assets, or a governance detour for a regulated utility? The coins were earned as Canton Network super-validator pay — never bought — at a $13.3M cost basis; the position is ~1.2%+ of market cap, the gains are excluded from Adjusted EPS, and the validator role earned $16.5M of FY26 revenue (10-K, Note 3). Canton-linked fair value is at least $247.7M (coins $216.1M + warrants $31.6M) plus CNTN shares whose value is not separately disclosed; $189.9M of the coin value is locked to mid-2029 under the Super Validator election, the CNTN warrants are not transferable, and the marks run through GAAP earnings every quarter. Open — no dated resolver is set for this debate on this page.
Price Guide conservatism vs the enterprise bar: management guides low and delivers — does the FY27 guide, beaten the usual way, cover what’s priced in? The compounding guides have never been cut in 12 quarters and were delivered at or above the initial ranges three years running; delivered owner earnings compounded +14.25%/yr across FY24–26 — more than double what’s priced in. On the governing revenue/margin route the FY27 guide itself implies +6.31% at the low end and +7.64% at the high end — the range brackets what’s priced in, but only the high end covers it; the low end misses by a hair. The buyer needs the guide’s better half, delivered for a decade. Tue Nov 3, 2026 — Q1 FY27 print: FY27 recurring and Adjusted EPS guides — pass if reaffirmed or raised; fail if either is cut (neither has been cut in 12 quarters).

Closed sales are release-reported, rounded to whole $M: FY26 reported $305M (rounded quarters sum to $306M); FY24 reported $342M (quarters sum to $343M); FY25 $288M (quarters tie). Reported full-year figures govern.

The kill attempt

Five ways this breaks — tested one by one

  1. The rule takes the print stream. Reg E-Delivery attacks the customer-communications recurring stream directly — the highest-quality revenue in the mix. Conceded as a real multi-year revenue headwind. The fight is over the net earnings-per-share (EPS) effect: no FY27 impact is expected (Ghei, Aug 4, 2026), the main hit falls on low/no-margin distribution revenue, and digitization is already ~95% of proxy and ~80% of fund communications (company-reported).
Bull answer: The fight is over the net earnings effect, and management’s position is that it is broadly neutral: the main hit falls on the $2,250.6M of low/no-margin distribution revenue — postage pass-through with no pricing power — new digital services are expected to more than offset the recurring loss, and no FY27 impact is expected (Ghei, Aug 4, 2026). Digitization is already ~95% of proxy and ~80% of fund communications (company-reported): most of the migration has already run through Broadridge’s own plumbing.
  2. Closed sales is demand, not timing. The guide was cut at Q3 in both FY25 and FY26. Answered for FY26: delivery was $305M, inside the original $290–330M guide, on a record $158M Q4. But the point stands for FY25 — $288M landed below the original floor.
Bull answer: Answered for FY26 — delivery was $305M, inside the original $290–330M guide, on a record $158M Q4, and the recurring-revenue backlog grew from $430M to $470M (company-reported) across the year: the deals closed late, they did not vanish. Concession: the point stands for FY25 — $288M landed below the original $290M floor.
  3. The price needs a decade with no bad year. What’s priced in sits inside the range the FY27 guide implies on the governing route — but only just. Conceded: that is a price fact, not a business flaw — at its low end (+6.31%) the guide sits a hair below the flat enterprise bar, though it clears the credited bar. The price leaves no slack for a lost year anywhere in the first decade.
Bull answer: The delivered record is the answer — owner earnings compounded +14.3%/yr across FY24–26, more than double what’s priced in, and the recurring and Adjusted EPS guides were never cut in 12 quarters and were delivered at or above the initial ranges three years running; FY26 recurring growth of +8% landed above even the raised guide. This management’s guides have been beaten, not just met. Concession: the guide as printed still does not clear the flat bar — at its low end (+6.31%) it sits a hair below what’s priced in (+6.39%/yr), though it clears the credited bar (+5.31%/yr) and the equity memo figure (+5.13%/yr). The buyer needs the beats to continue; that is a price fact, not a business flaw.
  4. Canton is a governance liability wearing an asset’s clothes. Argued once, in Management — sized at ~1.2%+ of market cap on the disclosed legs. Pointer only here.
Bull answer: The coins were earned as Canton Network super-validator pay — never bought — at a $13.3M cost basis, and the gains are excluded from Adjusted EPS, so the compounding record this page grades is not flattered by the mark; the validator role itself earned $16.5M of FY26 revenue (FY26 10-K, Note 3), and the tokenization rails run through the incumbent plumbing (the moat skeleton below, item by item). Concession: $189.9M of the coin value is locked to mid-2029 under the Super Validator election, and that election has not been explained on the record.
  5. Event-driven revenue mean-reverts. Answered by mix: it is 4.7% of revenue ($348.1M of $7,476.8M). Q2 FY26 printed −27% on that line and recurring revenue still grew +9% reported.
Bull answer: Answered by mix — event-driven is 4.7% of revenue ($348.1M of $7,476.8M), and in that same Q2 FY26 recurring revenue still grew +9% reported; across FY26 the recurring engine printed +9%, +9%, +7.0%, +8.3% while event revenue and closed sales lurched around it.

FY22 owner earnings sit on a distorted base — FY22 FCF conversion was 48% vs ≈90–110% in every year since (FY23: 89.6% unrounded) — which is why the compounding record above reads owner earnings over the FY24–FY26 clean window. One quality note on the latest year: FY26 GAAP EPS grew +35.2%, flattered by a $227.0M non-cash digital-asset gain in the Adjusted reconciliation (Note 8’s rollforward totals $236.7M of realized + unrealized gains; the $9.7M difference is not reconciled in the filing); the Adjusted +12.3% in this table is the real rate.

Margin defense: Adjusted operating margin was flat at 20.5% in FY26; management attributes the flat headline to distribution-revenue growth and lower float income offsetting claimed core expansion of 50 bps+ (bridges quantified on calls at −30 bps net in Q1 FY26 and −80 bps net in Q3 FY26) — the expansion has not yet shown through in reported margin.

The recurring engine never wobbled — +9%, +9%, +7.0%, +8.3% — while closed sales lurched, then set a record in Q4.

Margin defense: same story as the five fiscal years above — the flat adjusted operating margin is postage pass-through and float/distribution drag against claimed core expansion; the prints have not shown the expansion yet.

Why it’s profitable

The moat is a mandate

The demand is not chosen; it is imposed. Brokers, funds, and issuers must communicate with shareholders and process trades to regulatory standards, on regulatory deadlines — and Broadridge is the embedded route for most of that traffic. Scale and integration do the rest: ripping out the proxy and post-trade plumbing mid-season is an operational risk no client takes to save basis points, so the switching cost is measured in risk, not dollars. Retention and backlog are the measurable residue of that position.

Its limits, honestly: the mandate protects the workflow, not the $2,250.6M distribution pass-through, which is postage economics with no pricing power — and the whole structure rests on the beneficial-owner ownership model surviving in roughly its current form. A registration-model redesign is the one change that would route around the plumbing rather than through it; it has not happened, and the tokenization evidence so far (item by item in the skeleton below) points the other way.

  • Proxymity — Emerging: a digital proxy network backed by the custodian banks, live in 25+ markets, so far on the global institutional chain, not the U.S. broker-held base.

The guides that matter were never cut; the sales guide was cut twice

B+

Tim Gokey (CEO since January 2019) runs a promises-kept operation on the metrics that compound — and has one serial soft spot and one governance flag, both documented below. Guides never cut and delivered at or above the initial ranges three years running; record buybacks bought into the drawdown; set against the missed Dec 2023 margin objective, the twice-cut closed-sales guide, an 82:1 insider sell-to-buy dollar ratio, and the Canton detour.

The guidance record

Across 12 quarters of calls, the recurring-revenue and Adjusted EPS guides were never cut — raised four times and narrowed up once (Q3 FY24): Q1 FY25 (recurring), Q1 FY26 (recurring, to the high end), Q2 FY26 (EPS, to 9–12%), and Q3 FY26 (both; EPS to 10–12%). Delivery followed: FY24 recurring +6% (the floor of the initial range) and EPS +10% (mid-range); FY25 recurring +7% (top of the initial range, inside the raised range) and EPS +11%; FY26 recurring +8% (above even the raised guide) and EPS +12% (top of the raised range) — at or above the initial ranges in all three years, with no recurring or EPS guide ever cut in 12 quarters. Closed sales is the exception: cut at Q3 FY25 ($290–330M → $240–300M; delivered $288M as reported, below the original floor) and again at Q3 FY26 ($290–330M → $240–290M; delivered $305M, inside the original range). FY27 repeats the same $290–330M range — a checkpoint, not a promise.

Capital allocation

FY26 buybacks were a record $603.7M, timed into weakness — Q4 FY26 purchases averaged $150.22 with the price down — and a new $1.5B authorization (Aug 3, 2026, no expiry) replaced the old program. Demonstrated shrink is 1.01%/yr: diluted WASO 117.1M vs 118.3M, with basic WASO also down (116.3M vs 117.1M) — both shrink tests pass at filed precision. The leak: stock-based compensation rose +27.9% to $93.9M, so $603.7M of repurchases produced only that 1.01% shrink. The dividend rose +12% to $4.36 (as reported; 20th consecutive annual increase).

Alignment & pay

Gokey’s FY26 total compensation was $19,130,826 (+11.3%); his compensation actually paid in FY26 was −$9,808,518 — the equity-heavy package marked down hard with the stock, which is genuine downside alignment. Say-on-pay drew 91.62% support in 2025 (verified to the vote: For 87,706,467 / Against 8,019,679); there is a single share class and no pledges. Insider sales in the census window (Form 4 filings, Jan 2025–Oct 2026) totalled $84,453,695 on 343,149 shares, against one open-market purchase: Tim Gokey, 5,300 shares for $1,030,794 on Mar 6, 2026 — a ratio of 81.9× by dollars and 64.7× by shares. Gokey accounted for $63,513,412 (75.2%) of sale value. Of his sales, $55,469,149 (87.3% of his dollars) carries a line-level 10b5-1 plan footnote (two plans, adopted Dec 9, 2024 and May 14, 2025); the remaining $8,044,262 tranche (Mar 10, 2025) carries only a weighted-average-price footnote, inside a filing whose other tranches that day are plan-footnoted. No non-Gokey sale line carries a 10b5-1 footnote: the other $20,940,283 was not plan-footnoted, including Douglas R. DeSchutter’s $2,416,127 in two sales of held shares (May 27 and Jun 6, 2025; no plan footnote, no paired option exercise). • The lock: 1.3 billion coins ($189.9M) are locked under the company’s election to lock 70% of lifetime and future earned coins to keep its Super Validator Weight; the lock thresholds decline and are scheduled to end in mid-2029.
  • The earnings distortion: FY26 GAAP EPS includes the $227.0M gain removed in the Adjusted reconciliation (excluded from Adjusted EPS). Note 8’s rollforward totals $236.7M of realized + unrealized gains — the $9.7M difference is not reconciled in the filing.
  • The CNTN warrants: in Q2 FY26, 342M coins (fair value $53.1M at the transaction) were contributed to Canton Strategic Holdings (CNTN) for 17.3M pre-funded warrants that are not transferable; 6.1M were exercised in Q4 FY26. The remaining warrants are carried at $31.6M (Level 2); the exercised shares are not separately quantified (inside a $232.5M securities line).
  • Total Canton-linked exposure: at least $247.7M (coins $216.1M + warrants $31.6M), plus CNTN shares whose value is not separately disclosed — ~1.2%+ of market cap.
  • What is missing: no independent valuation of the lock election was located, and the election has not been explained on the record.

Consequence as graded: a governance/quality minus inside capital allocation, sized ~1.2%+ of market cap — not a thesis-level exposure. The Fisher integrity item stays open until the lock and the election are explained on the record.

Management’s own sizing of the disruption case — and, in the same remarks, its position that the earnings impact will be “broadly neutral” and that new services will more than offset the recurring loss; CFO Ghei stated Aug 4, 2026 that no FY27 impact is expected.

Reverse discounted cash flow (DCF) · What’s priced in

What growth rate is the market pricing in?

How this works: we work backwards from the price — solving for the annual owner-earnings growth rate that makes today’s enterprise value fair at a 10% required return. The solved rate holds for ten years, then eases gradually toward 2%. Base = FY26 owner earnings $1,139.1M = company free cash flow (FCF) $1,233.0M − stock-based compensation (SBC) $93.9M. No analyst estimates are used anywhere.

The answer: at $175.11, what’s priced in is about +6.4%/yr — against delivered owner-earnings compounding of +14.3%/yr across FY24–26, and a FY27 guide that implies +6.31% to +7.64% on the governing revenue/margin route. The guide’s range brackets the priced-in rate: the low end sits just below it, the high end above it. With the demonstrated buyback credit, the requirement falls to +5.31%/yr — a rate even the guide’s low end clears.

Share counts are filed to 0.1M precision only; inside that rounding the credited bar spans +5.22% to +5.40%/yr. Terminal value is struck at year 100: $239,578.9M undiscounted, a present value of $17.4M — 0.08% of enterprise value; against year-100 earnings grown along the model’s path, that terminal value is 9.46× Adjusted operating income and 11.17× GAAP operating income. Competitive-advantage period at the delivered FY24–26 CAGR (+14.25%): 4.46 years vs EV gross, 3.00 years vs market cap; on the desk’s growth-path convention (10% hurdle), enterprise / market-cap CAPs are 20.44 / 11.53 yrs at 6%, 10.62 / 6.72 at 8%, 7.30 / 4.78 at 10%, 5.61 / 3.73 at 12%. EV net of Canton Coin credit (memo): $22,622.1M — credits the full $216.1M Level 1 fair value; $189.9M of that value is locked under the Super Validator election (thresholds end mid-2029) and no haircut is applied.

Required vs delivered, in belief form

Enterprise basis: you must believe owner earnings compound at about +6.4%/yr for a decade and then fade gradually toward 2%; management’s FY27 guide implies +6.31% total at its low end on the governing revenue/margin route (+7.64% at the high end; the ~21% margin guide embeds ~$25M of forecast AI productivity savings) — the guide’s low end sits just below what’s priced in; the high end covers it.

With the demonstrated credit: the requirement falls to the credited bar in the other-solves table above, which even the guide’s low end clears by a full point; the guide’s low end also clears the equity memo figure in the same table. (The EPS-route cross-check, +6.90% at the low end, is a memo only — Route B, derived from the Adjusted EPS guide, a per-share cross-check the desk does not govern by.)

Base rate: Broadridge compounded owner earnings +14.3%/yr over FY24–26 (memo: +19.1%/yr FY23–26, on a still-normalizing base — FY22 FCF conversion was 48% — not the run-rate), while recurring revenue, the steadier base rate, compounded +7.0%/yr for five years. What’s priced in sits just below the revenue base rate and well below the clean window’s delivered earnings rate.

Predictability read — demonstrated vs forecast: the demonstrated side is the recurring engine — recurring revenue compounded +7.0%/yr for five years (FY22–FY26, no year below +5.9%), at 98% retention (company-reported) with a $470M backlog (company-reported), and recurring/Adjusted EPS guides were never cut in 12 quarters. At the FY27 guide’s low end (+6.31% total, governing route), the demonstrated run-rate covers the first ~6.3 points of what’s priced in. The remaining ~0.1 points to +6.39%/yr are forecast, not demonstrated: they require the Adjusted operating income (AOI) margin-expansion path — promised at 50+ bps/yr in Dec 2023, delivered at ~25 bps/yr on headline AOI margin (19.78% FY23 → 20.53% FY26) and ~32 bps/yr on the company’s own core scorecard basis — to show through the postage/float drag while the Reg E-Delivery net effect stays offset. Dec 8 grades exactly that forecast side.

The turbo, quantified: desk scenario (not management guidance): a “few percent” of $4,878M of recurring revenue is $98–195M of revenue; at an assumed incremental margin that is roughly $50–100M of owner earnings — worth ~0.4–0.8 points on the priced-in rate. Management’s own full position (Gokey, Apr 30, 2026) is that the earnings impact will be “broadly neutral” — the primary hit falls on $2,250.6M of low/no-margin distribution revenue, new digital services are expected to more than offset the recurring loss, and no FY27 impact is expected (Ghei, Aug 4, 2026). The debate is whether that offset holds; Dec 8 is graded on whether the company quantifies it.

At $175.11 the stock trades at 17.5× owner earnings per cover share ($9.99); EV gross is 14.9× FY26 Adjusted operating income and 20.0× FY26 owner earnings; the owner-earnings yield on EV gross is 4.99% and the free-cash-flow yield on market cap is 6.18%. The multiple still prices delivery — it is the bar above, not the multiple, that the record has to clear.

Dated checkpoints with pass/fail thresholds

Grading convention: an outcome between a checkpoint's PASS and FAIL lines is MIXED — neither passed nor failed — and the item is re-graded at the following print.

  1. Tue Nov 3, 2026 — Q1 FY27 print · expected date: reporting pattern and aggregator calendars; not company-confirmed
The FY27 closed-sales guide: PASS reaffirmed at $290–330M · FAIL the $290M floor is cut at a Q1 print (both prior cuts came at Q3).
    Also: Q1 closed sales PASS ≥ $50M / FAIL < $40M (Q1 FY26: $33M; Q1 FY25: $57M) · Recurring growth PASS ≥ +6.0% CC (constant currency) / FAIL < +6.0% (the FY27 guide floor) · FY27 recurring and Adj EPS guides PASS reaffirmed / FAIL any cut; neither has been cut in 12 quarters.
  2. Tue Nov 10, 2026 — Annual meeting
    Say-on-pay: PASS ≥ 85% support / FAIL < 85% (2025: ~92%). The first post-Canton-disclosure vote on pay.
  3. Tue Dec 8, 2026 — Investor Day
Decisive — the Adjusted operating income (AOI) margin-expansion target: PASS ≥ 50 bps/yr with the postage/float bridge quantified · FAIL below 50 bps/yr, unquantified, or dropped (the Dec 2023 set promised 50+ bps/yr and delivered ~32).
    Also: three-year recurring target floor PASS ≥ 7%/yr / FAIL < 7% (2023 set: 7–9%; delivered ~7.0%) · Reg E-Delivery revenue-at-risk quantified — PASS a figure is published / FAIL not.

Update protocol: this page is re-scored against the lines above after the Nov 3 print and the Dec 8 Investor Day; every threshold was set on Oct 16, 2026, and will not be redrawn after the fact.

The Dec 2023 target set, scored: recurring ✓ ~7% vs 7–9% · organic ✓ ~6% vs 5–8% · Adjusted EPS ✓ ~11% vs 8–12% · margin expansion ✗ ~32 vs 50+ bps/yr. Three hits and the one miss is the margin line — which is why Dec 8 is graded on the bridge, not the headline.

Basis note: the ~32 bps/yr delivered margin figure inside the registered text above is the company’s core-basis deck scorecard; on the filings-derived headline basis used everywhere else on this page it is ~25 bps/yr (AOI margin 19.78% in FY23 → 20.53% in FY26). The checkpoint tests are unaffected — see Corrections, Oct 17, 2026.

Gaps & open items

What the filings do not say

  • No single-client revenue percentage is disclosed — client concentration is flagged from the 10-K risk factors only, not estimated; no call in the 12-quarter series quantifies it either.
  • The exercised CNTN shares (6.1M shares, Level 1) are not separately quantified in the FY26 10-K: they sit inside the $232.5M “Securities” line of Other non-current assets alongside pension and ERSP (Executive Retirement and Savings Plan) investments (Note 8, footnote (a)). The unexercised pre-funded warrants are separately disclosed at $31.6M fair value (Level 2). No filed figure isolates the CNTN-share value.
  • The 98% retention figure is company-reported (Q4 FY26 call / Ex-99.2 only; in no filing) and not independently verifiable.
  • The $470M recurring-revenue backlog is company-reported (call/Ex-99.2) and not independently verifiable.
  • Basic WASO is filed only at 0.1M precision — the statements, Note 4, and XBRL all carry 116.3M / 117.1M; no more precise basic count exists, so the credited bar’s second decimal carries a rounding band (see the other-solves table in the pricing section).
  • The Canton gain definitions do not reconcile inside the 10-K: the Adjusted reconciliation removes $227.0M of digital-asset gains while Note 8’s rollforward totals $236.7M; the $9.7M difference is unexplained in the filing.
  • No independent valuation of the Canton lock election was located.
  • The Nov 3, 2026 print date is not company-confirmed — it follows the reporting pattern and aggregator calendars.
  • Transcript evidence: short excerpts as noted by the desk from transcripts read in full at the publisher; full texts are not archived in this dossier (copyright — links only), so verification is against the desk’s contemporaneous notes and the publisher links, not a saved full text. Four quarters (Q4 FY24, Q2 FY25, Q1 FY26, Q3 FY26) were freshly re-fetched from the publisher on Oct 17, 2026; the remaining eight verify against the desk’s Oct 16, 2026 notes.
